Development Terms & Conditions

These Terms & Conditions govern all website, software, application, ERP, mobile app, PWA, API, and custom development services provided by TweekersNut Network (“Company”, “We”, “Us”) to the client (“Client”, “You”).

By approving a proposal, making a payment, or engaging our services, you agree to the following terms.

1. Project Initiation & Advance Payment

  • A minimum 25% advance payment of the total project cost is mandatory to initiate any development work.

  • No work will start until the advance payment is received and confirmed.

  • The advance payment is strictly non-refundable under all circumstances, including project cancellation or delay caused by the Client.

2. Payment Schedule, Delays & Final Delivery

  • The remaining 75% payment must be cleared before final delivery.

  • Source code, admin access, credentials, repositories, deployment files, or production builds will ONLY be shared after 100% payment is received.

Payment Failure Clause (Important)

If the Client fails to follow the agreed payment schedule, including delayed, partial, or missed payments:

  • The project will be immediately paused or suspended

  • We reserve the right to withhold delivery, access, or services

  • Timelines will automatically be extended

  • No liability shall lie with TweekersNut Network for:

    • Service disruption

    • Project cancellation

    • Delay in delivery

    • Non-availability of product or services

We are not obligated to continue or resume any service until all pending dues are cleared in full.

Additional charges may apply for:

  • Project reactivation

  • Resource reallocation

  • Priority resumption

3. Ownership & Source Code Rights

  • All source code, designs, logic, architecture, and intellectual property remain the exclusive property of TweekersNut Network until full payment is received.

After full payment:

  • The Client receives rights to use the delivered product

  • Core frameworks, internal libraries, reusable components, tools, and proprietary logic remain the intellectual property of TweekersNut Network

  • We reserve the right to reuse non-client-specific code for other projects

4. Scope of Work & Revisions

  • Work will be executed strictly as per the approved proposal / scope document

  • Any feature, change, or enhancement outside scope will be billed separately

  • Unlimited revisions do not apply unless explicitly mentioned

  • Verbal requests or WhatsApp messages are not considered scope approval unless confirmed in writing

5. Client Responsibilities

The Client agrees to:

  • Provide timely content, assets, approvals, and feedback

  • Ensure legal ownership of logos, images, content, and data

  • Respond within reasonable timelines

Delays caused by missing inputs or approvals are not our responsibility and do not pause payment obligations.

6. Project Timelines

  • Timelines are estimated only and depend on:

    • Client response time

    • Third-party tools or APIs

    • Hosting, domain, or platform dependencies

We are not liable for delays caused by:

  • Client inaction

  • Third-party services

  • Force majeure events

7. Hosting, Domain & Third-Party Services

  • Hosting, domain, SMS, WhatsApp API, payment gateways, cloud services, plugins, or licenses are:

    • Either billed separately

    • Or paid directly by the Client

We are not responsible for:

  • Downtime

  • Data loss

  • Third-party service failures

8. Maintenance & Support

  • Post-delivery support is limited to bug fixes within the delivered scope

  • Support duration is only as mentioned in the proposal

  • New features, updates, security patches, or server issues require a separate AMC / Maintenance Contract

9. Cancellation, Suspension & Termination

  • The Client may cancel the project at any stage, however:

    • Advance payment will not be refunded

    • Work completed till date will be billed proportionally

If the Client:

  • Fails to clear payments for more than 15 days

  • Violates payment terms

We reserve the right to:

  • Terminate the project

  • Suspend or disable services

  • Retain all work completed

  • Deny further access or delivery

No claims, refunds, or liabilities shall arise against TweekersNut Network in such cases.

10. Confidentiality

Both parties agree to maintain confidentiality of:

  • Business information

  • Login credentials

  • Technical documentation

  • Client data

This obligation survives project completion or termination.

11. Limitation of Liability

We shall not be liable for:

  • Business or revenue losses

  • Data loss

  • Security breaches due to third-party tools or client negligence

  • Project or service discontinuation due to non-payment

Our maximum liability, if any, shall never exceed the total amount paid by the Client for the project.

12. Legal Jurisdiction

  • These Terms are governed by the laws of India

  • Any disputes shall be subject to Mohali, Punjab jurisdiction only

13. Acceptance of Terms

By making payment, approving the proposal, or engaging our services, the Client confirms that:

  • They have read and understood these Terms

  • They agree to comply with all payment schedules and conditions

  • They acknowledge that failure to pay releases TweekersNut Network from all service and delivery obligations
